These Terms & Conditions (“Terms”) govern access to and use of the Pinova Aesthetics website and purchases from PINOVA AESTHETIC LLC (“PINOVA,” “we,” “us,” or “our”). By using the website or placing an order, you agree to these Terms and the policies linked on the website, subject to applicable law.

An authorized return address will be provided only through approved return instructions. A registered-agent address is not a customer-service, operating, warehouse, or return address unless expressly identified as such in writing.

2. Website Use and Eligibility

You may use the website only in compliance with applicable law and these Terms. You must be at least 18 years old, or the age of legal capacity applicable to the transaction, to place an order.
If you purchase on behalf of a business, clinic, facility, or other organization, you represent that you have authority to bind that organization.
You must not interfere with the website, bypass security or access controls, use the website for unlawful purposes, submit inaccurate information, introduce malicious code, scrape or copy content in a manner that violates applicable law, or infringe the rights of PINOVA or another person.

3. Product Information and Customer Responsibility

We attempt to describe products, conditions, quantities, compatibility, lot numbers, expiration dates, availability, and pricing accurately. Product information may change, and typographical, technical, inventory, image, or description errors may occur.
Product pages may contain third-party names, model numbers, part numbers, and compatibility references solely to identify the product or describe intended compatibility.
Before ordering, the customer is responsible for confirming product identity, compatibility with the intended equipment and model, intended use, regulatory status, professional qualifications, licensing requirements, import eligibility, storage requirements, expiration status, and suitability for the customer’s application.
Customers must follow applicable law and manufacturer or product instructions.

4. Professional-Use Restrictions

Certain products may be intended for purchase, installation, operation, handling, or administration only by appropriately trained, qualified, or licensed professionals as required by applicable law.
Any restriction stated on a product page is part of the product-specific terms. We may request information reasonably necessary to evaluate an order or may decline an order where a professional-use, safety, payment, import, or compliance concern exists.

5. Orders, Acceptance, and Cancellation

Submitting an order is an offer to purchase. An automated order confirmation acknowledges receipt of the order but does not necessarily constitute acceptance.
An order is accepted when PINOVA confirms acceptance, dispatches the product, or otherwise communicates acceptance, subject to these Terms.
We may refuse, limit, cancel, or decline an order before dispatch for reasons including product unavailability, pricing or description error, suspected fraud, payment failure, shipping or import restrictions, safety or compliance concerns, inaccurate information, or an inability to fulfill the order.
If we cancel an order after payment has been received, we will ordinarily refund the amount actually paid for the canceled order, subject to applicable law and payment-provider rules.
A cancellation request is not effective until PINOVA confirms it in writing. Once an order has been dispatched, the customer must follow the Shipping Policy and Return & Refund Policy.

6. Product Availability and Substitutions

Products may become unavailable, sold out, discontinued, delayed, or subject to inventory verification. We do not promise continuous availability.
We will not substitute a different product without the customer’s consent unless applicable law permits it and the customer agrees through the ordering process.

7. Prices, Taxes, and Errors

Prices are displayed in U.S. dollars unless otherwise stated. Prices, discounts, shipping charges, taxes, and availability may change before acceptance.
A displayed price or description error does not bind PINOVA where correction or cancellation is permitted by law.
Applicable taxes collected at checkout are separate from destination-country import charges. Customers are responsible for charges assessed against them by a destination country as described in the Shipping Policy.

8. Payment Authorization and Fraud Screening

Payment must be successfully authorized before an order is processed. Payments are processed through Shopify Payments and related payment-service providers.
We may use payment verification, fraud-screening, identity-verification, and security services. You authorize us and our providers to obtain, process, and verify information needed to complete the transaction, screen for fraud, comply with law, and protect the website and payment system.
An order may remain pending, be delayed, or be canceled if payment is not completed or a security review cannot be completed.

9. Shipping and Returns

The Shipping Policy and Return & Refund Policy are incorporated into these Terms.
Orders are normally processed within one business day. Standard domestic U.S. orders are normally shipped using UPS and standard domestic delivery is estimated within three business days after dispatch.
International orders may be shipped using UPS or DHL and are normally estimated to arrive within six business days after dispatch. Delivery dates are estimates and are not guaranteed.
Eligible return requests must generally be submitted within 30 calendar days after confirmed delivery, subject to the Return & Refund Policy, product-specific conditions, and applicable law.

10. Independent Seller and Third-Party Brands

PINOVA AESTHETIC LLC is an independent seller. Unless expressly stated in writing on a specific product page, PINOVA is not an authorized dealer, distributor, representative, service center, agent, affiliate, partner, licensee, or sponsor of any third-party manufacturer or brand owner.
Third-party trademarks and names belong to their respective owners. See the Independent Seller, Trademark, and Compatibility Disclaimer.

11. Product Warranties

Unless a product page or written order document expressly states otherwise, products are sold without a separate seller performance warranty.
Any manufacturer or third-party warranty applies only if expressly identified for the exact product and may not apply to products purchased from an independent seller.
Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.

12. Website Content and Medical Disclaimer

Website content is general product information and is not medical, clinical, legal, or regulatory advice. PINOVA does not diagnose conditions, provide medical advice, recommend treatment protocols, or guarantee clinical or patient outcomes.
Customers are responsible for professional judgment, compatibility verification, lawful use, and compliance with applicable requirements.

13. Intellectual Property

The website’s original text, layout, graphics, logos, and other content created or lawfully used by PINOVA are protected by applicable intellectual-property laws.
Third-party trademarks, product names, manufacturer materials, photographs, and other content remain owned by their respective rights holders or licensors.
No ownership or license is granted by these Terms except the limited permission to access and use the website for lawful shopping and information purposes.
You must not reproduce, distribute, modify, publicly display, create derivative works from, or commercially exploit website content without permission from the applicable rights holder.
A disclaimer does not authorize infringement, counterfeit goods, false-origin claims, unauthorized copyrighted images, misleading packaging, or inaccurate compatibility claims.

14. Disclaimer of Warranties

To the extent permitted by law, the website and its content are provided on an “as available” basis. PINOVA does not promise that the website will be uninterrupted, error-free, completely secure, or continuously available.
PINOVA does not guarantee that product descriptions, compatibility information, photographs, prices, availability, or other content will always be complete, current, or error-free.
Nothing in these Terms excludes or limits a warranty or right that cannot legally be excluded or limited.

15. Limitation of Liability

To the extent permitted by applicable law, PINOVA AESTHETIC LLC will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to website use, product purchase, product use, delay, loss of data, business interruption, or inability to use the website.
This section does not exclude or limit liability that cannot legally be excluded or limited, including liability arising from fraud, intentional misconduct, or other liability where limitation is prohibited by applicable law.
Any liability cap or additional limitation must be reviewed by a licensed U.S. attorney before publication.

16. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless PINOVA AESTHETIC LLC and its officers, members, employees, contractors, and service providers from third-party claims, losses, liabilities, costs, and expenses arising from your unlawful use of the website, breach of these Terms, inaccurate information, or use of a product in violation of applicable law or instructions.
This obligation does not apply to the extent a claim is caused by PINOVA’s own misconduct or a non-waivable legal obligation.

17. Force Majeure

PINOVA is not responsible for delay or failure caused by events outside its reasonable control, including severe weather, natural disasters, war, terrorism, government action, customs or import restrictions, labor disputes, carrier interruptions, utility or internet failures, cybersecurity events, supplier disruption, or other force-majeure events.
This provision does not eliminate any remedy that applicable law requires.

18. Severability and Entire Agreement

If a provision is held invalid or unenforceable, it will be modified or severed only to the minimum extent necessary, and the remaining provisions will continue to the extent permitted by law.
These Terms, the linked policies, the applicable order information, and any expressly incorporated written agreement constitute the entire agreement concerning the transaction, subject to non-waivable rights and mandatory law.

19. Policy Changes

We may update these Terms and related policies by posting a revised version and updating the effective date.
Changes apply prospectively unless applicable law requires otherwise. The Terms in effect when an order is accepted govern that order, except where a later change is required by law or expressly agreed.

20. Governing Law and Disputes

Any governing-law, venue, court, arbitration, class-action, jury-trial, or similar dispute provision should be reviewed by a licensed U.S. attorney before publication.
If Delaware law or Delaware courts are proposed because PINOVA was formed in Delaware, counsel should confirm whether the clause is appropriate and enforceable for the customer’s location, transaction, consumer status, and product. Delaware formation does not automatically make every Delaware clause valid or enforceable against every customer.
Nothing in these Terms prevents a customer from exercising rights that cannot legally be waived.
